Note Purchase Agreement Template-With Cap

The Note Purchase Agreement with a Cap is the frame agreement for the convertible loan transaction; the lenders will also need to execute the Convertible Promissory Note. The cap language included will enable you to establish a maximum price pursuant to which the loan shall be converted to (and not just a discount for the next round).
